# ESQ CoPilot — Member Terms (One-Page Draft, 2026-10-18) *Draft for review — not legal advice. Have counsel review before launch. Joining as a Member, or paying for an introduction, means you accept these Terms.* **1. What ESQ CoPilot is — and is not.** ESQ CoPilot is a lawyer directory and advertising / lead-generation service. We are not a law firm, we provide no legal advice, and we are not a lawyer referral service. We do not recommend, endorse, or vouch for any lawyer. Matching is neutral — by practice area, geography, and availability only. No attorney–client relationship is created with us, by an introduction, or until you separately agree one with the consumer. You alone are responsible for your conflict checks, merits review, competence, licensing, and compliance with the advertising and solicitation rules of every jurisdiction you practise in. **2. Free listing.** Any licensed lawyer may claim a basic directory listing, free, with no payment method required. Free listings receive no introductions and no AI Harness. We may pre-populate a profile from published sources; a lawyer who claims a profile must review it, correct it, and is responsible for its accuracy from then on. Keep your listing accurate; we may remove listings that are false, misleading, or for a lawyer not in good standing. **3. Membership — $49, credit wallet, rollover.** Membership is $49 per billing cycle and includes one credit worth $49. **AI Harness / founding seats:** founding Membership is available only by an individual invitation code we email to a selected lawyer. Each code is single-use, non-transferable, redeemable only by the invited lawyer at the email address it was sent to, and **expires 120 hours (5 days) after it is sent** — the invitation states its exact expiry time. Founding Membership is limited to **250 founding Members in total**; a seat is held while its code is outstanding and is released back to the pool if the code expires unredeemed, and the offer ends when all 250 seats have been claimed. A Member who joins by redeeming a founding code in time receives AI Harness access at no additional charge **for the life of that Member's continuous Membership**; there is no expiry and no later conversion to a paid Harness for a founding Member whose Membership never lapses. Cancelling, or letting Membership lapse, permanently forfeits founding status — a rejoining Member is a new Member under the terms then in effect. **Founding Charter:** a founding Member is charged nothing at signup (a payment method is held on file only); their **first Qualified Introduction is free at any tier**, and the first $49 Membership charge is made at that delivery and buys the credit applied to their second introduction, which is then priced as a first introduction under §4. Founding prices — the $49 Membership and the §4 introduction prices — are **locked and never increase** for the life of a continuous founding Membership, notwithstanding §§4 and 11. Founding Members also receive a Founding Member badge and a monthly AI Visibility Report while their Membership is continuous. Founding seats are limited to **3 per practice-area × county cell**, and no code will be issued for a full cell. All other Members may add the AI Harness for **$99 per month** (in addition to the $49 Membership), or receive introductions by email without it. You are charged the $49 **only when your credit wallet is empty**. If your credit is unused at the end of a cycle, it rolls over and you are **not charged** for the next cycle; billing resumes once the credit has been used. An unused credit is not cash-refundable; if you cancel, it remains usable if you reactivate within 90 days, then expires. Your wallet can never hold more than one included credit. **4. Prices per introduction.** Each Qualified Introduction is charged at a fixed price set by the practice area of the inquiry: **Standard $49** (Estate/Probate, Immigration, Business, Real Estate, Tax, Landlord-Tenant, Consumer) · **Growth $99** (Family/Divorce/Custody, Criminal/DUI, Bankruptcy, Workers' Compensation, SSDI, Employment consult, Lemon Law) · **Premium $199** (Personal Injury, Medical Malpractice screening, Mass Tort/Class Action screening, Wrongful Termination/Employment Litigation, Serious Felony Defense). Your included credit is applied to your first introduction in a cycle, so that introduction costs $49 total (Standard), $99 total (Growth), or $199 total (Premium). Further introductions in the cycle are charged at the full tier price, on delivery, up to the monthly cap you set. Fees are never a percentage of your legal fee and never depend on whether you are hired, on settlement, or on any case outcome. Price changes apply only prospectively, on at least 30 days' notice, and you may cancel before a change takes effect; price changes never apply to founding Members (see §3). **5. Qualified Introduction — when you are charged.** You are charged on delivery of a Qualified Introduction (except a founding Member's first introduction, which is free — §3): a consumer who (a) submitted an intake stating a legal need and consenting to be contacted, (b) has a verified, reachable phone and email, (c) matches the practice-area, jurisdiction, and county filters you have set, (d) is not a duplicate introduction to you within 90 days, and (e) is not spam, a test, your existing client, or an opposing party. Delivery is timestamped in the AI Harness with the intake summary and verification results — that is your delivery receipt. **6. Exclusive — one lawyer only.** An introduction is delivered to one Member only and is never sold or shown to another lawyer at the same time. If you decline it in the Harness within 2 business hours (conflict, capacity, or outside your scope), or no contact attempt is logged within 4 business hours, you are not charged and it may be reassigned to the next eligible Member. **7. Your duties.** You will (a) respond to introductions promptly, (b) use consumer information only to evaluate and respond to that introduction — never sell it, share it, or use it for unrelated marketing, (c) keep your filters, cap, licence status, and contact details current, and (d) provide your services independently; nothing here makes us your partner, employer, or agent, or gives us any share of, or control over, your fees or your cases. **8. Disputes and credits.** Dispute an introduction in the Harness within 7 days. You will not be charged (or the charge will be reversed) if it fails §5 — bad contact details, wrong practice area or county, duplicate, spam, existing client, or opposing party. It is **not** a ground for credit that the consumer does not hire you, hires someone else, does not respond after a verified delivery, or has a matter you judge weak on its merits. **9. Pause, cancel, payment.** You may pause deliveries or cancel at any time in the Harness; no further charges are made after cancellation except for introductions already delivered. You authorise us to charge your payment method on file for membership charges and per-introduction fees up to your cap. **10. No guarantees; liability.** We do not guarantee any volume of introductions, consultations, clients, or revenue. To the maximum extent permitted by law, our total liability arising from this service is limited to the fees you paid us in the 3 months before the claim, and neither party is liable for indirect or consequential losses. You indemnify us against claims arising from your legal services, your listing content, or your use of consumer information. **11. Changes.** We may update these Terms on at least 30 days' notice; your continued Membership after the effective date is acceptance. If any provision is unenforceable, the rest remain in effect.
